Welcome to PraiseLane. These Terms of Service ("Terms") govern your access to and use of the PraiseLane platform at praiselane.com, including all related services, features, and content (collectively, the "Service").
By creating an account, accessing, or using PraiseLane, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
Definitions
- "PraiseLane," "we," "us," or "our" refers to PraiseLane, the company operating the Service.
- "Platform User" refers to any individual or organization that creates an account on PraiseLane to collect, manage, and display testimonials.
- "Testimonial Submitter" refers to any individual who submits a testimonial through a PraiseLane collection form.
- "Content" refers to any text, images, video, ratings, or other materials submitted to or displayed through the Service.
- "Project" refers to a testimonial collection workspace created by a Platform User, identified by a unique slug.
Account Registration
To use certain features of PraiseLane, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Keep your password secure and confidential. You are responsible for all activity under your account.
- Notify us immediately if you suspect unauthorized access to your account.
You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.
Service Description
PraiseLane is a testimonial collection and management platform that enables businesses to:
- Create customizable testimonial collection forms with unique public URLs.
- Receive and moderate testimonials (text, video, and star ratings) from customers and clients.
- Approve, reject, or feature testimonials through a dashboard interface.
- Display approved testimonials on external websites via an embeddable JavaScript widget.
- Access analytics and manage testimonial presentation settings.
- Participate in a referral program to invite new users and earn rewards.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible. We are not liable for any modification, suspension, or discontinuation of the Service.
Service Availability
PraiseLane strives to maintain high availability of the Service but does not guarantee uninterrupted access. Specifically:
- No Uptime SLA: We aim for high availability but do not provide a binding service-level agreement (SLA) for uptime.
- Scheduled Maintenance: We may perform maintenance that temporarily affects service availability. Where possible, we will provide advance notice.
- Emergency Suspension: We may immediately suspend access without notice if a user's activity threatens the platform's availability, security, or integrity for other users.
- Third-Party Dependencies: We are not responsible for outages caused by third-party infrastructure providers, network failures, or force majeure events.
API & Embed Widget Availability
The testimonial embed API is subject to rate limiting. We reserve the right to throttle or block excessive automated requests. We do not guarantee backward compatibility of API responses and may update the embed widget or API format at any time.
Testimonial Collection & Use
For Platform Users
As a Platform User collecting testimonials, you agree to:
- Ensure you have a legitimate business reason for collecting testimonials.
- Not misrepresent the purpose of testimonial collection to submitters.
- Moderate testimonials in good faith and comply with applicable laws regarding public display of user-generated content.
- Respect the rights of Testimonial Submitters, including requests for removal.
For Testimonial Submitters
By submitting a testimonial, you acknowledge that:
- Your testimonial may be publicly displayed after approval by the Platform User.
- Public information includes your name, testimonial text, rating, company, and job title (if provided). Your email address is never publicly displayed.
- You grant the Platform User and PraiseLane a non-exclusive, worldwide license to display your testimonial in connection with the Service.
- You may request removal of your testimonial at any time by contacting the Platform User or PraiseLane.
Content Accuracy & FTC Compliance
Testimonials must reflect genuine experiences. Platform Users are responsible for ensuring that testimonials collected and displayed through PraiseLane comply with the FTC Endorsement Guides (16 C.F.R. Part 255) and equivalent regulations in their jurisdiction. This includes:
- Properly disclosing any incentives, discounts, or compensation provided in exchange for testimonials.
- Not fabricating, selectively editing, or manipulating testimonials in a misleading way.
- Not suppressing negative testimonials to create a misleading overall impression.
- Not representing testimonials as independently verified when they are not.
Violation of these requirements may result in content removal and account termination.
Content License
License from Testimonial Submitters
By submitting a testimonial through a PraiseLane collection form, the Testimonial Submitter grants PraiseLane and the relevant Platform User a non-exclusive, worldwide, royalty-free license to store, process, display, reproduce, and distribute the testimonial content for the purpose of operating the Service. This includes displaying the testimonial through embed widgets on third-party websites. This license continues while the testimonial exists in the Service and terminates when the testimonial is deleted.
Platform User Rights to Testimonial Content
Platform Users are granted a limited license to display, embed, and share testimonials collected through their PraiseLane projects on their own websites, social media channels, and marketing materials. This license is:
- Contingent on the Testimonial Submitter's continued consent (submitters may request removal at any time).
- Limited to the Platform User's own business purposes and does not extend to resale or transfer to third parties.
- Revocable upon termination of the Platform User's PraiseLane account.
Content Ownership
PraiseLane does not claim ownership of your testimonial data or any content produced through the Service. Platform Users own their project configurations, brand assets, and collected testimonial data. Testimonial Submitters retain ownership of their testimonial content.
Embed Widget
PraiseLane provides an embeddable JavaScript widget (embed.js) for displaying approved testimonials on third-party websites. By using the embed widget, you agree that:
- The widget is provided "as-is" and its appearance and functionality may change with updates.
- You will not modify, reverse-engineer, or decompile the widget code.
- You are responsible for ensuring the widget's use on your website complies with applicable laws and your own website's terms.
- The widget fetches only publicly approved testimonial data. The widget uses browser localStorage on your website to store a persistent viewer identifier for analytics and sends analytics data (viewer_id, session_id, page URL, referrer) to PraiseLane servers. The widget does not set HTTP cookies. You are responsible for disclosing this in your own privacy policy.
- PraiseLane is not liable for any issues arising from the installation or performance of the widget on third-party websites.
- Upon account termination, embed widgets will stop serving testimonial content within 48 hours.
User Obligations
When using PraiseLane, you agree to:
- Comply with all applicable local, national, and international laws and regulations.
- Use the Service only for its intended purpose of collecting, managing, and displaying testimonials.
- Not interfere with or disrupt the Service, servers, or networks connected to the Service.
- Not attempt to gain unauthorized access to any part of the Service or other users' accounts.
- Not upload content that contains viruses, malware, or other harmful code.
Outreach & Contact List Warranty
If you use PraiseLane to request testimonials from contacts, you warrant that:
- Your contact lists contain only individuals who have authorized contact from you.
- Your outreach practices comply with CAN-SPAM, GDPR, and other applicable anti-spam and data protection regulations.
- PraiseLane is not responsible for any violations arising from your outreach practices.
Prohibited Uses
You may not use PraiseLane to:
- Collect, store, or process personal data in violation of applicable data protection laws (GDPR, CCPA, etc.).
- Submit or display fake, fabricated, or misleading testimonials.
- Harass, defame, or violate the rights of any person through testimonial content.
- Send spam, unsolicited communications, or phishing attempts through the platform.
- Scrape, crawl, or use automated means to extract data from the Service without our express written consent.
- Resell, sublicense, or redistribute the Service or any part of it without authorization.
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
Violation of these prohibitions may result in immediate termination of your account without notice.
Intellectual Property
Our Intellectual Property
The PraiseLane platform, including its design, code, branding, logos, documentation, and all proprietary technology, is owned by PraiseLane and protected by intellectual property laws. Nothing in these Terms grants you ownership of or rights to our intellectual property beyond the limited license to use the Service.
Your Content
You retain ownership of all content you submit to PraiseLane, including testimonial responses, project configurations, and account information. By submitting content, you grant PraiseLane a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your content solely for the purpose of operating and providing the Service.
Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you. Such feedback becomes our property and may be incorporated into the Service.
Subscription & Billing
Free and Paid Plans
PraiseLane offers both free and paid subscription plans. Paid plans provide additional features, higher limits, and priority support. Details of each plan are available on our pricing page.
Payment Terms
- Paid subscriptions are billed monthly or annually in USD, as selected at checkout.
- Payment is processed by our third-party payment processor. We do not store your full payment card details.
- Subscriptions automatically renew unless cancelled before the end of the current billing period.
- All fees are non-refundable unless otherwise stated.
Plan Changes and Cancellation
You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Changes take effect at the start of the next billing period. Upon cancellation, you retain access to paid features until the end of your current billing period.
Data & Privacy
Your use of PraiseLane is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.
As a Platform User, you act as the data controller for testimonials collected through your projects. PraiseLane acts as a data processor on your behalf. You are responsible for:
- Ensuring your testimonial collection practices comply with applicable data protection laws.
- Responding to data subject requests from Testimonial Submitters regarding their personal data.
- Providing appropriate notice to Testimonial Submitters about how their data will be used and displayed.
PraiseLane offers a Data Processing Agreement (DPA) upon request per GDPR Art. 28. Contact [email protected] to request a DPA.
Third-Party Services
PraiseLane integrates with and relies on third-party services including Hetzner (hosting), Cloudflare/R2 (CDN and storage), Paddle (payment processing), Google Analytics (analytics), Sentry (error monitoring), and Google APIs (reviews import). These services are governed by their own terms and privacy policies.
We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is at your own risk.
Content Moderation & Removal
Our Right to Remove Content
PraiseLane reserves the right to remove, disable, or restrict access to any testimonial or user content that:
- Violates these Terms or applicable law.
- Is reported as fraudulent, defamatory, or infringing on third-party rights.
- Poses a risk to the security or integrity of the platform.
- Contains personally identifiable information that should not be public (e.g., phone numbers, addresses).
No compensation is owed for removed content. We will make reasonable efforts to notify the relevant Platform User when content is removed.
Testimonial Authenticity
PraiseLane does not independently verify the authenticity, accuracy, or truthfulness of testimonials submitted through the platform. The responsibility for ensuring testimonial authenticity lies with the Platform User who collects and publishes them. PraiseLane is not liable for any claims arising from inaccurate, misleading, or fraudulent testimonials.
Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- Any defects or errors in the Service will be corrected.
- The Service will meet your specific requirements or expectations.
- Content submitted by users (including testimonials) is accurate, complete, or reliable.
You use the Service at your own risk. PraiseLane is not responsible for the accuracy, legality, or content of testimonials submitted by users.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAISELANE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption or loss of business opportunities
- Costs of procuring substitute services
- Damages arising from unauthorized access to or alteration of your data
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO PRAISELANE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless PraiseLane and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Content you or your Testimonial Submitters submit through the Service.
- Your failure to comply with applicable data protection laws in your use of the Service.
Termination
By You
You may close your account at any time through your account settings or by contacting us. Upon closure, your data will be handled in accordance with our Privacy Policy.
By Us
We may suspend or terminate your account at any time, with or without notice, if:
- You breach these Terms.
- Your use of the Service poses a security risk or disrupts other users.
- We are required to do so by law.
- We discontinue the Service (with reasonable notice where possible).
Data Export
Before deleting your account, we recommend exporting your testimonial data using the export feature in each project's settings. Once your account is deleted, your data enters a 30-day soft-deletion period during which it cannot be accessed. After 30 days, all data is permanently deleted from our active systems.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. Embed widgets will stop serving testimonial content within 48 hours. We may delete your account data within 30 days of termination, except where we are required to retain it by law. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Content License, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PraiseLane operates, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts in the jurisdiction where PraiseLane is established.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page.
- For significant changes, we will notify registered users via email at least 30 days before the changes take effect.
- We encourage you to review these Terms periodically.
Continued use of PraiseLane after updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
